Salym Petroleum Development N.V. is a joint venture of Shell Pls (50%) that operates in Russia (exploration and production of oil as a license holder) with 2 subsidiaries in a structure (in Russia and in the Netherlands).

Responsibilities:
• Corporate Secretary of the holding + Secretary of the Supervisory Board, Coordinator of the Corporate Working Group,
• Corporate support for the holding (including on corporate restructuring/reorganization/redomicilation),
• Monitoring of external changes (e.g. sanctions and local legislation),
• Consulting on energy law issues (including ESG) and Russian subsoil law,
• Legal support of M&A deals (starting from term sheets ending up with the postmerger governance), SPA, MoA, NDA, term sheets, etc.
• Mediator in case of corporate deadlocks between shareholders,
• Legal and coporate risk assessment, risk management.

Achievements:
• conducted a merger transaction on the terms of an option call,
• awarded by the CEO for solving corporate issues between shareholders,
• sanctions compliance regulation and corporate regulation from the scratch.
